Incorporation of TİAK A.Ş.
TİAK (Television Audience Measurement Committee) had operated as an institution with a volunteering technical committee prior to the Competition Authority decision dated 2/11/2009.
TİAK A.Ş. was established in December 2010 upon a notice requiring TİAK, which performed television rating measurements in Turkey, to be structured as a legal entity, following the COMPETITION AUTHORITY decision dated 2/11/2009. Structured as a joint-stock company, as per the criteria set forth by the Competition Authority and embracing a structure that is fully compliant with world measurement standards, TİAK A.Ş. started to operate as a legal entity with full-time employees. In this framework, TİAK A.Ş. is a structure which has articles of incorporation and statutes; brings together all participants of the industries; facilitates and controls each stage in the process of supplying the TAM (Television Audience Measurement) data; is capable of making strategic decisions in this regard; has a corporate identity, technical competence and functionality. It is an independent, impartial and corporate organization/common unit that ensures representation of both the parties commissioning and providing advertisements, wishing to benefit from the measurements results, along with the television broadcasting channels that compete to increase viewing rates.
The Television Audience Measurement Contract executed between TİAK A.Ş. and TNS A.Ş. on 14/7/2011 was granted individual exemption by the Competition Authority. Following that, the “Television Audience Measurement Service Contract” was signed on September 8, 2011.
TİAK A.Ş. was established with 20 shareholders, including 18 TV channels, Advertisers Association and Advertising Association.
Technical Committee
It is stated in the Competition Authority report dated 2/11/2009 that the Joint Industry Committee built to facilitate television audience measurement is required to be authorized to determine, analyze and control all stages of TAM service; therefore, as with the examples from foreign countries, it is stated that full-time technical personnel with technical competence is employed across all Joint Industry Committees, separately from auditors.
Within the scope of the said report, upon the establishment of TİAK A.Ş., the Technical Committee’s duty commenced as an in-house committee working full time as an in-house committee, employed full time and working towards establishing the framework for the execution of the TAM service, and facilitating its performance through continious monitoring, on behalf of TİAK A.Ş. The committee members work under the management of the Head of Committee that is elected internally.
The Technical Committee provides regular reporting services to the Board of Directors, on the operations it undertakes and decisions it makes. It is the duty of the Technical Committee to determine all necessary standards required for the TAM service research to be technically in line with international norms, including data such as the number of households and devices to be involved in the measurement, in a fair and transparent manner; take measures to ensure that the Research Company can implement such standards, and to perform the technical control of TAM service in this context.
